These terms of service ("Terms") govern your use of the Groovian fraud intelligence platform and the groovian.com website ("Service"), operated by Groovian ("we", "us", "our"). By accessing or using the Service, you agree to these Terms.
1. Account and Access
To use the Groovian platform, you must create an account on behalf of a qualifying organization. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must provide accurate and complete information when creating an account. You agree to notify us immediately of any unauthorized access to your account.
2. Acceptable Use
You agree to use the Service only for its intended purpose: submitting, screening, and reviewing fraud intelligence related to music distribution. You may not:
- Use the Service to submit false, misleading, or malicious fraud signals
- Attempt to reverse-engineer, decompile, or extract source code from the platform
- Attempt to identify individuals from anonymized or hashed data
- Access or attempt to access data belonging to other organizations
- Use the Service to harass, defame, or harm any individual or organization
- Resell, redistribute, or sublicense access to the platform or its data
- Use automated tools to scrape, crawl, or extract data from the platform beyond the provided API
3. Fraud Signal Submissions
When you submit fraud signals to the platform, you represent that the information is submitted in good faith and based on genuine observations or evidence from your operations. Groovian reserves the right to review, approve, reject, or remove any submitted signal.
You acknowledge that fraud signals you submit may be used, in anonymized and aggregated form, to provide intelligence to other organizations participating in the network. No personally identifiable information is shared.
4. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. All personally identifiable information submitted as part of fraud signals is cryptographically hashed before transmission. Groovian does not store, access, or process raw PII.
5. API Usage
If you access the Service through our API, you agree to use it in accordance with any rate limits, usage quotas, and documentation we provide. API keys are issued per organization and must not be shared outside your organization.
We reserve the right to throttle or suspend API access if usage patterns suggest abuse or exceed plan limits.
6. Subscription and Payment
Access to the Groovian platform requires a paid subscription. Pricing, plan details, and payment terms are agreed upon between you and Groovian during the sales process.
Subscriptions renew automatically unless cancelled before the end of the current billing period. If you exceed your plan's usage limits, overage charges may apply as outlined in your subscription agreement.
All fees are non-refundable except where required by law.
7. Intellectual Property
The Service, including its design, features, code, documentation, and branding, is the property of Groovian and is protected by intellectual property laws. Nothing in these Terms grants you ownership of any part of the Service.
Data you submit to the platform remains yours. By submitting fraud signals, you grant Groovian a license to use that data in anonymized and aggregated form to operate and improve the intelligence network.
8. Confidentiality
You agree to treat all data obtained from the Groovian platform as confidential. You may not disclose fraud intelligence data, risk scores, match results, or other platform outputs to third parties outside your organization without our prior written consent.
9. Disclaimers
The Service is provided "as is" without warranties of any kind, whether express or implied. Groovian does not guarantee the accuracy, completeness, or reliability of any fraud signal, risk score, or intelligence data provided through the platform.
Fraud signals are based on reports from participating organizations and represent indicators, not definitive conclusions. You are responsible for making your own decisions based on the information provided.
10. Limitation of Liability
To the maximum extent permitted by law, Groovian shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost revenue, lost profits, or business interruption.
Our total liability for any claim related to the Service shall not exceed the fees you paid to Groovian in the 12 months preceding the claim.
11. Termination
Either party may terminate the subscription in accordance with the terms of the subscription agreement. We may suspend or terminate your access immediately if you violate these Terms.
Upon termination, your access to the platform will be revoked. Anonymized fraud signal data you contributed may be retained to maintain the integrity of the intelligence network.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the jurisdiction in which Groovian is incorporated, without regard to conflict of law principles.
